
CREATIVE PARTNERSHIP & RETAINER TERMS

These Creative Partnership & Retainer Terms apply to recurring creative service engagements with Elray Media and should be read together with the applicable proposal, order form, statement of work, Client Terms of Service and any signed agreement. Project-specific written terms prevail to the extent of any conflict.
1. Partnership Packages
Elray Media currently offers the following indicative partnership structures:
Essential Partnership — starting at ₹50,000 per month, with up to 20 creative hours per month.
Growth Partnership — starting at ₹1,00,000 per month, with up to 40 creative hours per month.
Strategic Partnership — starting at ₹2,00,000 per month, with managed unlimited requests subject to fair usage, agreed capacity, scope and service policy.
Prices are starting investments and may vary according to scope, complexity, team structure, turnaround requirements, meeting commitments, specialist skills, taxes and third-party costs.
2. Scope of Services
Services may include presentation design, brand design, print media, marketing collateral, corporate reports, documentation, digital assets, templates, campaign support and other agreed creative services. Only services expressly included in the applicable commercial agreement form part of the retainer.
3. Request Submission
Requests should be submitted through the agreed communication or project-management channel with a clear brief, required content, source assets, dimensions, formats, deadline, audience and relevant brand guidelines. Incomplete briefs may delay commencement.
4. Queue and Priority Management
Requests are managed through a prioritised queue. The number of requests that can be actively worked on simultaneously depends on the selected package, complexity, available capacity and agreed workflow. Elray Media may recommend reprioritisation to meet critical business deadlines.
5. Creative Hours
For hour-based packages, time may include briefing, research, ideation, concept development, design, revisions, meetings, project management, file preparation, quality checks, stakeholder coordination and related delivery activities. Time tracking methodology may be defined in the applicable proposal.
6. Unused Hours and Rollover
Unless expressly agreed in writing, unused monthly creative hours expire at the end of the applicable billing period and do not roll over, accumulate, transfer, convert to cash or create a credit against future invoices.
7. Managed Unlimited Requests
Where a Strategic or other package includes unlimited requests, this means the client may maintain an unlimited request queue during an active subscription. It does not mean unlimited simultaneous production, unlimited personnel, unlimited labour, guaranteed same-day completion of all requests or unrestricted scope.
8. Fair-Use Policy
Unlimited-request services are subject to reasonable fair usage. Work is completed sequentially or according to agreed priorities and available capacity. Large, unusually complex, highly repetitive, urgent or resource-intensive requests may require phased delivery, reprioritisation, additional capacity or a separate commercial agreement.
9. Exclusions from Unlimited Service
Managed unlimited service does not include abusive request volumes, artificial splitting of large projects to circumvent capacity, continuous emergency deadlines, unlawful content, work outside agreed capabilities, or requirements that materially exceed reasonable dedicated-team capacity.
10. Turnaround Times
Essential work generally targets approximately 2–3 business days for suitable routine requests. Growth receives priority handling according to the agreed service level. Strategic may include urgent or same-day response for suitable requests, but completion time depends on complexity, brief quality, dependencies and available capacity. Turnaround times are targets rather than absolute guarantees unless expressly committed in writing.
11. Rush and Emergency Requests
Rush requests are subject to feasibility and capacity. They may require reprioritisation of other work, additional fees or revised delivery expectations. A request marked urgent by the client is not automatically accepted as an emergency commitment.
12. Revisions
Revisions are managed within the applicable package capacity, creative hours or agreed fair-use framework. A major change of brief, new creative direction, new deliverable or reversal after approval may be treated as a new request or additional scope.
13. Meetings and Strategy Sessions
Meeting, consultation, workshop and strategy-session entitlements follow the selected package and applicable proposal. Additional meetings or extensive stakeholder coordination may consume creative hours or be separately quoted.
14. Dedicated Point of Contact
Where included, a dedicated point of contact coordinates communication, requests and priorities. This does not guarantee the exclusive assignment or continuous availability of a specific individual unless expressly agreed.
15. Client Responsibilities
The client will provide timely briefs, accurate content, authorised assets, consolidated feedback, approvals and required access. Delays or missing dependencies may affect turnaround and capacity planning.
16. Client Delays and Dormant Requests
If required client input is delayed, Elray Media may pause or reprioritise the affected request. Dormant requests may need to re-enter the active queue when required information becomes available.
17. Billing and Payment
Unless otherwise agreed, retainers are invoiced monthly in advance. Payment due dates, deposits, taxes, currency, minimum commitments and payment methods will be stated in the applicable commercial agreement. Work may be paused for overdue invoices.
18. Taxes and Third-Party Costs
Applicable taxes are additional where legally required. Printing, paid stock assets, specialist fonts, photography, video production, software licences, travel, translation, external vendors and other third-party costs are excluded unless expressly included.
19. Minimum Commitment and Renewal
Any minimum subscription term, renewal mechanism or notice period will be stated in the applicable proposal or order form. In the absence of an expressly agreed fixed term, the arrangement may continue month to month subject to the agreed cancellation notice.
20. Package Upgrades and Downgrades
Package changes are subject to availability, notice requirements and commercial approval. Upgrades may take effect immediately or from the next billing period. Downgrades generally take effect from a future billing period and may not reduce amounts already invoiced or committed.
21. Pausing a Retainer
A pause is available only where expressly agreed. Reserved capacity is not automatically held during a pause, and restarting may be subject to availability, revised scheduling and updated commercial terms.
22. Cancellation and Termination
Cancellation is subject to the minimum term and notice period stated in the applicable agreement. Unless otherwise agreed, amounts due for completed work, reserved capacity, committed resources and third-party costs remain payable.
23. Scope Boundaries
Unless expressly included, retainers do not automatically cover software development, complex web development, extensive motion graphics, video production, photography, long-form copywriting, translation, specialist legal or regulatory review, advanced 3D production, travel or vendor costs.
24. Intellectual Property
Ownership and licensing of final approved deliverables follow the applicable proposal, Client Terms of Service and any project-specific agreement. Transfer of agreed rights is generally subject to full payment.
25. Source and Editable Files
Editable or source files are included only where expressly stated. Third-party fonts, stock assets, plugins, software and licensed components remain subject to their own terms and may require separate client licences.
26. Confidentiality
Each party will use reasonable care to protect non-public confidential information received in connection with the partnership, subject to legal obligations and agreed exceptions.
27. AI-Assisted Workflows
Elray Media may use AI-assisted tools, automation and professional software for ideation, drafting, image generation, research support or production efficiency where appropriate. Specific client restrictions concerning AI, confidential information, security, intellectual property or data residency should be agreed in writing.
28. Portfolio Rights
Portfolio and promotional use of completed work follows the Client Terms of Service and any confidentiality or project-specific restrictions. Confidential or unpublished client work will not be publicly displayed without appropriate authority.
29. Service Availability
Service availability may be affected by public holidays, planned leave, illness, force majeure, major technical outages, third-party disruptions or exceptional demand. Elray Media will make reasonable efforts to communicate material service impacts.
30. No Guaranteed Business Outcome
Creative services are provided with reasonable professional care, but no guarantee is made regarding specific sales, revenue, investment, engagement, conversion, regulatory or other business outcomes.
31. Strategic and Enterprise Customisation
Enterprise clients may require custom service levels, procurement terms, security reviews, data-processing arrangements, vendor onboarding, dedicated capacity, extended support hours or specialist staffing. Such requirements must be separately agreed in writing.
32. Relationship to Other Terms
These terms supplement the Elray Media Client Terms of Service. If there is a conflict, a signed or expressly accepted project-specific agreement takes priority, followed by the applicable order form or proposal, these Creative Partnership & Retainer Terms, and then the general Client Terms of Service, unless otherwise stated.
33. Governing Law and Jurisdiction
Unless a project-specific agreement provides otherwise or mandatory law requires differently, these terms are governed by the laws of India, with courts of competent jurisdiction in Bengaluru, Karnataka having jurisdiction.
